1. Acceptance of Terms
These Terms of Service ("Terms") constitute a legally binding agreement between Solace Healthcare Technologies ("Solace", "we", "us") and the healthcare facility, medical clinic, hospital, dental practice, or professional medical practitioner ("Customer", "Clinic", "You") registering for or using our electronic medical records and clinical practice management platform at mysolace.xyz, mysolace.spex.com.ng, or designated custom subdomains.
By creating an account, initiating an Enterprise Free Trial, or accessing the platform, you represent that you have the legal authority to bind your medical facility to these Terms.
2. Practice Accounts, Security & Staff Roles
When registering your clinic:
- You agree to provide accurate, verified clinic information and official medical practitioner credentials.
- Your administrative account holder is responsible for creating and provisioning role-based staff accounts (Doctors, Nurses, Pharmacists, Cashiers) and ensuring permissions reflect statutory clinical duties.
- Each staff member must maintain individual, confidential login credentials. Account sharing is strictly prohibited under medical audit and cybersecurity protocols.
- You must immediately notify Solace at security@mysolace.xyz upon discovering any compromised credential or unauthorized access.
3. Subscriptions, Enterprise 30-Day Free Trial & Billing
A. 30-Day Free Enterprise Trial
Solace offers a 30-day, full-featured complimentary trial of the Enterprise plan to qualified healthcare facilities. No credit card is required to initiate the trial. The trial provides full access to multi-doctor charting, smart billing, pharmacy inventory, and lab integrations to evaluate fit.
B. Paid Subscriptions & Renewal
Following the conclusion of a free trial, continued access requires an active paid subscription tier (Starter, Growth, or Enterprise). Subscription fees are billed in advance on a recurring monthly or annual basis via integrated payment channels (including Flutterwave).
C. Taxes & Currency
All fees quoted in Nigerian Naira (₦) or United States Dollars ($) are exclusive of applicable Value Added Tax (VAT) or withholding taxes unless explicitly indicated.
4. Clinical Disclaimer & Medical Decision Support
While Solace provides ICD-10 tagging, automated dosage alerts, and laboratory tracking to assist clinical workflow, licensed physicians and healthcare staff must independently verify patient information, drug allergies, dosage calculations, and clinical notes before administering treatment.
5. Data Ownership & Intellectual Property
A. Clinic Data Ownership
You retain 100% ownership of all clinical records, patient files, notes, diagnosis charts, billing invoices, and practice data entered into your Solace account. Solace claims no ownership over your patient records.
B. Solace Intellectual Property
Solace and its licensors retain all right, title, and interest in and to the platform, including the user interface, proprietary algorithms, database architecture, design assets, and documentation. You are granted a revocable, non-exclusive, non-transferable license to access the platform during your subscription term.
6. Uptime & Service Availability SLAs
We target a 99.9% uptime availability for our core application services, excluding scheduled maintenance windows announced in advance. Our platform incorporates Progressive Web App (PWA) offline caching capabilities to permit consultation continuity during intermittent local broadband outages.
7. Cancellation, Suspension & 30-Day Data Export
You may cancel your subscription at any time via the clinic portal settings or by notifying support. Upon termination or non-renewal:
- Your clinic is granted a 30-day export grace period with read-only access to download all patient registries, clinical histories, and financial ledgers in CSV, JSON, and PDF formats.
- After the 30-day grace period, Solace reserves the right to archive or permanently delete data in accordance with statutory medical record retention instructions.
8. Limitation of Liability
To the maximum extent permitted by applicable Nigerian law, Solace Healthcare Technologies, its directors, and affiliates shall not be liable for any indirect, punitive, consequential, or exemplary damages, or for any loss of revenue, medical malpractice claims, or business interruption arising out of or related to the use of or inability to use the platform.
Our aggregate liability for any direct claim arising from these Terms shall not exceed the total subscription fees paid by your clinic to Solace in the three (3) months preceding the incident giving rise to liability.
9. Governing Law & Arbitration
These Terms shall be governed by, construed, and enforced in accordance with the laws of the Federal Republic of Nigeria. Any dispute arising out of or relating to these Terms that cannot be settled amicably within thirty (30) days shall be submitted to binding arbitration in Abuja or Lagos, Nigeria, in accordance with the Arbitration and Mediation Act 2023.
